Overview

This week we discuss a party’s obligations to perform under their contractual terms. We consider how one might deviate from those terms, and what to do if the other party fails to meet their obligations. In particular, we discuss a seller’s obligation to deliver, what happens if the delivery is of nonconforming goods as well as a buyer’s obligation to accept delivery, to allow a seller to cure their failings, and a buyer’s duty to timely inspect for defects and notify the seller.
