OVERVIEW 7: Law & Ethics Contracting

This module uses a series of cases to illustrate the legal and ethical issues of contracting, including the elements of a legal contract, the primary defenses to contractual enforcement, the role of equity, and the role played by the Uniform Commercial Code. During the Live Session, you will negotiate and draft a legal contract and reflect on the ethical issues posed in contractual settings.

This week, our activities, content, and assignments will help you to be able to do the following:

  • Identify the elements of a common law contact
  • Distinguish express and implied promises and explain the source of implied terms
  • Identify the types of contracts that must be in writing to be enforceable
  • List the elements of fraud
  • Explain when failing to speak during contract negotiations can constitute fraud
  • Identify when the principle of unjust enrichment will provide quasi-contract remedy
  • Identify when the doctrine of promissory estoppel will apply in contractual settings
  • Discuss the Uniform Commercial Code and explain how it affects contract law
