OVERVIEW 7: Law & Ethics Contracting
Overview
This module uses a series of cases to illustrate the legal and ethical issues of contracting, including the elements of a legal contract, the primary defenses to contractual enforcement, the role of equity, and the role played by the Uniform Commercial Code. During the Live Session, you will negotiate and draft a legal contract and reflect on the ethical issues posed in contractual settings.
Learning objectives
This week, our activities, content, and assignments will help you to be able to do the following:
- Identify the elements of a common law contact
- Distinguish express and implied promises and explain the source of implied terms
- Identify the types of contracts that must be in writing to be enforceable
- List the elements of fraud
- Explain when failing to speak during contract negotiations can constitute fraud
- Identify when the principle of unjust enrichment will provide quasi-contract remedy
- Identify when the doctrine of promissory estoppel will apply in contractual settings
- Discuss the Uniform Commercial Code and explain how it affects contract law
